Franchise Disclosure Document (FDD)
Not yet preparedThe document federal law requires be given to a prospective franchisee before anything is signed or paid. Twenty-three items covering fees, obligations, restrictions, litigation, and the people running the company.
Why it matters: Without it, a franchise cannot lawfully be offered or sold anywhere in the United States. It is the gate everything else waits behind.
Franchise agreement
Not yet preparedThe contract itself: term, renewal, territory if any, fees, standards, transfer and termination.
Why it matters: It is attached to the FDD as an exhibit. Its terms are what the FDD describes, so the two are written together.
State franchise registrations
Not yet preparedA number of states require the FDD to be filed and reviewed before a franchise may be offered to anyone in that state.
Why it matters: It is why a market appearing on our list is not the same as a market being open. Registration states have their own timelines.
Audited financial statements
Not yet preparedAudited statements for the franchisor entity, included in the FDD.
Why it matters: A prospective franchisee is entitled to see the financial position of the company they would be signing with.
Trademark registration
In preparationFederal registration of the brand a franchisee would operate under, in the classes covering vehicle wrap services and franchise services.
Why it matters: A franchise is fundamentally a license to use a mark. The FDD must state the mark’s registration status, and an unregistered mark is a disclosed risk the franchisee carries.
Operations manual
In preparationThe written method: installation, intake, inspection, scheduling, payment and standards.
Why it matters: It is the thing being licensed alongside the name, and the reason a second location can produce the same result as the first.
